Instructor Agreement

OPTrillion Edutech – A service of OPTrillion Private Limited
Effective Date: 10th August 2025

This Instructor Agreement (“Agreement”) is entered into by and between OPTrillion Private Limited, a company incorporated under the Companies Act of India, having its registered office in Navi Mumbai, Maharashtra, India (“Company”, “we”, “us”, or “our”), and the individual or entity registering as a content creator or instructor on OPTrillion Edutech (“Instructor”, “you”, or “your”).

By accepting this Agreement electronically or through any written confirmation, you agree to be bound by its terms and conditions.

1. Scope of Engagement

You are being engaged as an independent content provider to design, develop, deliver, and/or manage educational content on our learning platform https://edutech.optrillion.org in areas such as trading, academics, fitness, fine arts, or other designated fields.

You understand that:

• This is not an employment relationship

• You act as an independent contractor

• No employer-employee, agency, joint venture, or partnership exists

2. Content Creation & Delivery

You agree to:

• Develop original, high-quality educational content (videos, PDFs, quizzes, assignments, etc.)

• Ensure that content is accurate, professional, and free of misleading claims

• Avoid plagiarism, copyright violations, and use only content that you own or are authorized to use

• Keep the curriculum aligned with platform standards, and update it periodically as needed

• Participate in community interactions, Q&A, or live sessions if required

All content should comply with applicable laws and OPTrillion’s Code of Conduct.

3. Intellectual Property (IP)

You retain copyright to all original content you produce. However, by uploading it to our platform, you grant OPTrillion Private Limited a non-exclusive, worldwide, royalty-free license to:

• Use, reproduce, host, display, distribute, and promote the content

• Sub-license it within our educational products and services

You must not reuse the same content on any directly competing LMS platforms without prior written consent.

4. Revenue Sharing & Payment

If your content is offered as paid content, revenue will be shared as agreed upon in writing (email or contract) between you and OPTrillion Edutech.

Unless otherwise stated:

• Revenue will be calculated net of taxes, payment gateway fees, discounts, and refunds

• Payouts will be made monthly or quarterly (as mutually agreed) to your designated bank account

• You will receive a detailed earnings report with each payout

You are responsible for any applicable taxes on your income and for maintaining compliance with Indian tax regulations.

5. Instructor Obligations

You must:

• Maintain a professional and respectful attitude toward learners and fellow instructors

• Avoid promoting personal services, products, or third-party businesses unless approved

• Adhere to no-discrimination, anti-harassment, and inclusive education principles

• Not give any medical, legal, financial, or investment advice unless properly certified and approved

You also agree to report violations or misconduct immediately to OPTrillion support.

6. Prohibited Activities

You may not:

• Upload, promote, or share pirated, harmful, violent, discriminatory, or adult content

• Solicit or contact students outside the platform for business or personal gain

• Impersonate or misrepresent your qualifications

• Circumvent payment systems to avoid platform commission

Violation of these terms can lead to content removal, account suspension, or legal action.

7. Confidentiality

You agree not to:

• Disclose platform data, unpublished content, student information, or company strategy

• Share your instructor dashboard or credentials with third parties

• Use OPTrillion’s name, brand, or resources without written permission for external promotion

This obligation survives the termination of this agreement.

8. Term & Termination

This Agreement begins on the date of your acceptance and will remain in effect until:

• Terminated by either party with 15 days written notice, or

• Terminated immediately for breach of this agreement, unethical conduct, or legal non-compliance

Upon termination:

• Your content may remain accessible to enrolled students for a reasonable period

• Final payment will be settled according to your outstanding earnings

9. Indemnity & Liability

You agree to indemnify and hold harmless OPTrillion Private Limited, its directors, and affiliates against any claims, damages, or legal disputes arising out of:

• Infringement of intellectual property

• False or misleading content

• Breach of terms

• Advice given in violation of platform policy (e.g., unauthorized financial or health advice)

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts of Navi Mumbai, Maharashtra.

12. Acceptance

By registering as an instructor on OPTrillion Edutech or submitting content to our platform, you acknowledge that you have read, understood, and agreed to the terms in this Instructor Agreement.
